Quick answer: compare operating capability, not licence quotations
Buying an existing licensed forex broker can reduce duplicated setup work when its permissions fit, its history can be verified and important people and commercial relationships can continue. A new application may suit a team that needs to design its own ownership, products, client markets and execution model. It still requires credible funding, staffing, systems and compliance arrangements. An acquisition is not guaranteed to be faster, and a new application is not necessarily cheaper.
The useful comparison is total funding, dependencies and failure risk on the path to lawful, stable operations. Define the business, check the regulatory and completion conditions, and only then assess valuation and payment terms.

What does “buying a forex licence” actually mean?
The expression may describe buying shares in the licensee, buying its holding company, or acquiring a brand, platform, client business and other assets. The first two can involve direct or indirect changes in control. An asset buyer should not assume the seller’s regulatory authorisation transfers with the assets.
In a share acquisition, the licensee usually remains the same legal company. Its debts, contracts and potential liabilities do not disappear because ownership changes. Asset transfers require their own analysis of liability allocation, client migration and authorisation. A licence certificate alone does not establish that the buyer can conduct every planned activity after completion.
Match the legal name, registration number, current authorisation, restrictions and actual operations. “Licensed company”, “company with a bank account” and “company permitted to serve your intended clients” are different propositions.
Acquisition versus new application: six important differences
| Factor | Acquire a licensed company | Apply for a new licence |
|---|---|---|
| Regulatory route | Assess changes in control, personnel and business activities | Prepare a full authorisation application for the intended activities |
| Historical exposure | Review existing clients, tax, contracts, complaints and regulatory records | The new entity does not inherit the target’s history, but applicants remain subject to scrutiny |
| Business fit | Existing permissions and infrastructure may need changes | Design around the target model and demonstrate it can operate |
| Commercial relationships | Confirm continuity conditions with banks, PSPs, LPs and suppliers | Establish relationships and satisfy relevant onboarding requirements |
| Funding | Purchase price plus remediation, capital and integration needs | Application, people, systems, capital and pre-launch operating expenditure |
| Timing uncertainty | Diligence, applicable approvals, consents and remediation | Application completeness, staffing and regulatory and counterparty reviews |
Why are regulatory approval and completion different events?
The FCA requires proposed controllers covered by its UK change-in-control regime to notify it and obtain approval first. Its assessment period runs from a notification being considered complete and can be up to 60 working days, excluding applicable interruption periods. A letter of intent, an uploaded form or the seller’s account of a conversation is not approval to take control.
Australia follows a different notification procedure for AFS licensees: the licensee must notify ASIC within 30 business days after an entity starts or stops controlling it. This does not establish that the transaction has no other conditions, and the procedure must not be applied to a UK acquisition. Adding financial services or products beyond an existing AFS authorisation also requires the applicable licence-variation process; a control notification does not expand permissions.
These are examples, not a global completion calendar. Identify who must notify, which ownership or influence arrangements trigger requirements, when completion is permitted and how personnel or business changes interact with the transaction. Our forex broker change-of-control guide provides a related checklist, subject to local review.
When does an acquisition deserve consideration?
- The target’s product, client and execution permissions fit the proposed business without depending on a major unapproved expansion.
- People, systems, processes or client operations have demonstrable value beyond the authorisation itself.
- Regulatory correspondence, accounts, client-money records and trading data support independent verification.
- Banks, payment providers, liquidity providers and critical suppliers have clarified post-acquisition review and contractual conditions.
- The agreement can make necessary approvals, consents and important remediation appropriate completion conditions, with workable payment and risk allocation.
A dormant or client-free company is not automatically free of historical exposure. Investigate inactivity, permission restrictions, capital and reporting history, related-party balances and outstanding costs. If only an unsuitable licence shell remains, a fresh application should be treated as a genuine alternative—not dismissed because the target is already licensed.
When should a fresh application receive priority?
A new application may offer clearer boundaries where products or client markets will change substantially, key staff cannot be retained, contracts cannot be confirmed or legacy problems cannot be quantified. It is not a shortcut around scrutiny; it avoids bringing an unverifiable target-company history into the project.
The new route still needs transparent shareholders and ultimate beneficial owners, funding evidence, qualified leadership, an operating footprint, risk systems and client-money arrangements. The plan should reflect available resources, not assume banks and LPs will accept the business automatically after authorisation. See our forex licence business-plan guide for preparation.
What should acquisition due diligence verify?
| Workstream | Core evidence | Cross-check |
|---|---|---|
| Regulatory and corporate | Official register, full permissions and conditions, ownership chain, correspondence and filings | Out-of-scope activity, restrictions, remediation and unresolved matters |
| Financial and tax | Audits, management accounts, bank records, capital calculations and related-party data | Availability of net assets; contingent liabilities, guarantees and doubtful receivables |
| Client money and ledgers | Client equity, relevant bank balances, platform records, general ledger and reconciliation breaks | Whether balances reconcile and responsibility for shortfalls is clear |
| Trading and client compliance | Execution and hedging data, complaints, client risk distribution and lawfully disclosable compliance samples | Permission fit and the scale of remediation |
| Counterparties and technology | Bank, PSP, LP and platform contracts; systems, access and incident records | Change-of-control, termination and re-onboarding effects on continuity |
A statement that balances are correct is not reconciliation evidence. Use a common point in time to map client liabilities, relevant accounts and ledgers, explaining unsettled items, fees, negative balances and discrepancies. Qualified financial and compliance reviewers should design the testing; a bank screenshot is no substitute.
Control the data room as well. Start with redacted aggregates and grant restricted access when necessary. Establish lawful disclosure arrangements before sharing personal data, suspicious-transaction reports or other confidential information. Diligence does not justify indiscriminate copying or breaching restrictions on tipping off.
Which findings should change the price—or stop the transaction?
| Finding | Unsafe response | Suggested transaction response |
|---|---|---|
| Unexplained client-money difference | Accept a discount and investigate after completion | Independently verify, resolve funding and regulatory treatment; do not complete with an unresolved critical gap |
| Key bank or LP continuity unconfirmed | Value the existing relationship as fully available | Check written conditions, alternatives and interruption costs |
| Planned activities outside permissions | Assume new ownership permits expansion | Assess variation feasibility, sequencing and an exit if unavailable |
| Unclear funding or controllers | Hide intermediate entities or beneficial control | Establish transparent structure and funding evidence first |
| Seller refuses material records | Substitute an indemnity for diligence | Require verifiable information and treat critical gaps as potential vetoes |
These are prudent planning responses, not regulatory findings against a particular business. Allegations, reporting duties and claims concerning a real target require fact-specific local advice.
How should total cost be compared?
Prepare like-for-like cash budgets for both routes. Separate sunk expenditure, recoverable or restricted funds and uncertain remediation:
- Acquisition or application: share consideration or setup and application charges, plus legal, financial, tax, technical and regulatory support.
- Capital and operating liquidity: applicable capital, counterparty margin, supplier reserves and usable working cash without double-counting.
- Remediation and migration: client-file repair, complaint handling, system replacement, staff retention and transition services.
- Delay scenario: fixed costs during approval or onboarding delays, alternative providers and possible reapplication.
- Exit scenario: refundable consideration, escrow-release terms and irrecoverable fees if diligence or approval fails.
Trace the purchase funds and post-completion capital separately, disclosing borrowing, related-party funding and restrictions. Our source-of-funds evidence guide explains preparation. Warranties, indemnities and retention amounts depend on enforceability and seller resources; they do not erase historical risk.
What checkpoints belong between an offer and completion?
- Define products, clients, execution model, money flows and intended jurisdictions.
- Verify the target’s permissions and ownership, identifying relevant approvals, notifications and other restrictions.
- Build the controlled data room and diligence plan; price risk, remediation and alternatives.
- Have advisers design conditional documents, payments, termination rights and interim limits on control.
- Complete regulatory steps, counterparty consents, personnel arrangements and funding in the applicable sequence.
- Refresh permission status, balances, material changes and condition evidence at completion instead of relying solely on old reports.
- After completion, check registrations and required notifications, disclosures, customer documents, access handover and outstanding remediation.
In a prior-approval regime such as the relevant UK framework, operational direction or account control must not be used to take over early. Elsewhere, assess actual control and acting-in-concert concepts rather than relying only on the share-register date. Authority over the business, payments and administrator access needs a clear lawful handover point.
Frequently asked questions
Can a forex licence be transferred like an ordinary asset?
Do not assume so. Share purchases, holding-company acquisitions and asset transfers have different effects. Establish whether the licensee changes, authorisation continues and additional procedures apply.
Is buying a licensed broker always faster?
No. Diligence gaps, control reviews, personnel changes, counterparty onboarding and remediation can alter the critical path. Compare time to lawful operation, not just signing.
Is a licensed company with no clients risk-free?
No. Review continuing permission conditions, capital, reporting, tax, related-party transactions, previous activity and reasons for inactivity. No current clients does not mean no historical liabilities.
Do bank accounts and payment channels automatically continue?
Continuity is not guaranteed. Review contracts, control-change and renewed due-diligence conditions with the institutions concerned. Unconfirmed relationships should not be valued as unconditionally available assets.
Does the FCA’s 60-working-day period cover the whole acquisition?
No. It starts from a complete notification and excludes applicable interruption periods. Preparation, additional information, other consents and completion work need separate planning.
Can new owners immediately expand an unsuitable licence?
Not automatically. Confirm the applicable variation or additional-authorisation process first. A change of ownership does not itself grant new product or service permissions.
Can a seller’s full indemnity replace due diligence?
No. Recovery depends on terms and financial capacity. An indemnity does not replace client-money verification, regulatory requirements or continuity planning.
