Quick answer: A forex licence application pack generally brings together corporate ownership, directors and key people, capital and source of funds, the business plan, compliance controls and operating arrangements. Exact forms, evidence, certification and submission methods depend on jurisdiction, licence class and business model. A strong pack demonstrates one executable business rather than a collection of certificates and policy templates.
This is general application-planning information, not legal advice. Build the final checklist from the target regulator’s current forms, legislation and applicant-specific requirements.
Define the permission before collecting documents
“Forex licence” is a commercial expression rather than one uniform legal permission. Specify products, client categories, target markets, execution model, principal role, client-money handling and outsourced functions. Application forms, contracts, website, forecasts and money flows must support the same scope.
Mauritius uses Investment Dealer categories, while Vanuatu’s Financial Dealers framework has its own forms and personnel requirements. Changing the country name does not adapt an application pack. If the jurisdiction is undecided, start with the licensing-jurisdiction guide.
Six core groups of application documents
| Group | Common evidence | Purpose |
|---|---|---|
| Company and control | Incorporation records, constitution, shareholder register, group and beneficial-owner charts | Clear identity, ownership and effective control |
| Directors and key people | Questionnaires, identity/address evidence, CVs, qualifications, consents and suitability information | Competence, capacity and fitness for the role |
| Capital and funding | Contribution plan, bank evidence, source explanation and supporting transactions | Lawful, traceable and available funding |
| Business and financial plan | Model, markets, revenue/cost assumptions, cash flow and stress scenarios | Understandable operations with proportionate resources |
| Compliance and client protection | AML/KYC, sanctions, complaints, conflicts, client-money and risk policies | Controls assigned to people, systems and evidence |
| Operations and substance | Office, technology, outsourcing, banking/payments, continuity and record-keeping | Ability to operate after approval |
This is an organising framework, not an identical statutory list everywhere. Some evidence accompanies the initial application; other items may be supplied during review, conditional approval or pre-launch conditions. Label these stages in the checklist.
Corporate records: make the control chain verifiable
Identify every entity, incorporation jurisdiction, ownership percentage and ultimate individual. Explain voting, appointment, trust, nominee and shareholder-agreement rights. Where ownership and control differ, supply the relevant agreements and explanation. Corporate shareholders may need their own incorporation and authority evidence, not just the applicant’s certificate.
Maintain a master identity table covering spelling, former names, registration numbers, addresses and dates. Explain differences between certificates, questionnaires and banking records rather than leaving a reviewer to infer the connection.
Personnel: establish competence as well as identity
Directors, shareholders, controllers, managers, compliance officers and other key people may have different requirements. CVs should explain relevant duties, products and management experience. Disclose other commitments, conflicts and adverse matters in accordance with the questions asked rather than merely listing employers and titles.
Each person should check their questionnaire before signature, including blanks, dates, attachments and declaration scope. Criminal-record checks, references, qualifications and address evidence depend on the applicable checklist, issuer and validity requirements. See the director and shareholder guide.
Funding: connect origin, holding and contribution
The amount of capital and its source are separate questions. Connect the lawful origin of funds with the holding account and contribution to the applicant. Asset sales, earnings, dividends and business profits need corresponding support. Group finance, loans and third-party payments also require explanation of legal terms and any effect on capital eligibility.
A balance screenshot alone generally cannot establish funding history and ownership. Index documents to transactions, keeping amounts, currencies, dates and account holders consistent. Explain conversion assumptions when multiple currencies are involved. Use the source-of-funds guide for the evidence chain.
Align the business plan and operating policies
The Mauritius FSC’s SEC-2.1B criteria include business activities, organisation, markets and forecasts. The VFSC’s Financial Dealers page provides separate application forms, personal questionnaires and guidance. Use documents for the actual permission sought alongside subsequent rules and notices.
Trace a customer from onboarding to withdrawal: who verifies identity, assesses risk, executes orders, holds money, handles exceptions and retains evidence? Reflect that process consistently in the plan, job descriptions, systems and policies. Each document should describe the same applicant.
| Plan commitment | Supporting evidence | Typical inconsistency |
|---|---|---|
| Serve selected markets | Access analysis, languages and support arrangements | Website markets exceed the plan |
| Use an execution model | Flowchart, platform and liquidity arrangements | Contractual role differs from order routing |
| Identify and review risk | Owners, systems, thresholds and example records | Policy duty has no operator |
| Maintain funding and capital | Budget, forecasts, stress scenarios and contribution evidence | Client money treated as operating cash |
| Outsource functions | Due diligence, contract, oversight and exit | Provider named without a control process |
Sequence certification, translation and signatures
Confirm content and acceptance requirements before commissioning certification and translation. Certified copies, notarisation, apostilles and consular legalisation are different processes. Establish acceptable certifiers, translators, signatures and document dates item by item rather than assuming the most elaborate procedure is universal.
Layered shareholders and international directors often require coordination. Obtain difficult historical and third-party evidence early, while scheduling time-sensitive documents so they remain acceptable when submitted. Record dependencies rather than relying on a single preparation deadline.
Run cross-document checks before submission
| Check | Compare | Release condition |
|---|---|---|
| Identity and control | Corporate records, charts, questionnaires and authority | Names and rights reconcile |
| Business scope | Forms, plan, contracts and website | Products, clients and entity roles agree |
| Finance and funding | Contributions, forecasts, expenses and cash flow | Amounts, origins and resources are traceable |
| People and substance | CVs, responsibilities, office and outsourcing | Every function has a real owner |
| Document form | Signatures, dates, translations, certification and versions | Target authority’s acceptance requirements met |
Use a master index with document identifier, owner, version, signature status, dependencies and submission location. Retain the submitted pack and receipt. Answer queries by question number with precise attachment references. If a reply changes ownership or operations, update affected documents together.
Plan preparation time and cost separately from approval
Preparation depends on personnel records, ownership layers, funding history, premises and providers. It is not the regulatory approval period. Schedule collection, business decisions, translation/certification, internal review, submission and queries separately. A promised number of days cannot replace dependency planning.
Separate processing and annual regulatory fees from incorporation, legal/compliance work, people, premises, systems and document production. Check current fee rules for the application circumstances instead of reusing historical amounts in older criteria. For financial planning, see the forex licence business-plan guide.
Frequently asked questions
Is there a worldwide forex licence document list?
No. The six groups help organise preparation, but the final evidence and formalities depend on the jurisdiction and permission.
Can preparation start before incorporation?
Yes. Define the model, people and control structure and assemble personal and funding evidence, then complete applicant-company records and signatures according to the local process.
Does a bank balance replace source-of-funds evidence?
Generally not by itself. A balance shows a holding at one point; source evidence explains origin, ownership and the contribution path.
Does every document need notarisation or an apostille?
Do not assume so. Confirm certification, acceptable professionals, translation and signature requirements for each item.
Can another broker’s AML template be used unchanged?
A template can provide structure, but policies must reflect the applicant’s customers, countries, products, systems, staff and actual evidence.
Does a complete pack guarantee approval?
No. Completeness enables review; the regulator still assesses the business, people, resources and other licensing conditions.
Can a query be answered by changing only one file?
Check related effects. Changes to ownership, roles, funding or the model may affect forms, plans, contracts, forecasts and policies together.
