Quick answer: A forex licence funding file should connect five things: how the money was generated, who owned it, why it may be contributed, the accounts it passed through, and the amount actually received by the applicant. A balance certificate is not a substitute for this chain. Separate source of funds (SoF), source of wealth (SoW), capital eligibility and the operating budget. Legitimate proceeds from a loan, dividend or asset sale do not automatically meet the chosen licence’s regulatory capital rules.
Information last verified: 14 October 2026. This is general preparation guidance, not legal, tax or accounting advice. The workflow and numerical example below are practical planning suggestions, not a regulator’s universal checklist. Evidence, instruments, translations and certification must meet the receiving institution’s current requirements.
Source of funds, source of wealth and capital are different tests
SoF explains the particular amount being contributed. SoW explains the funder’s broader accumulation of wealth. An owner might have built wealth through a business over many years, while funding this application with a property sale. The wealth narrative and the sale-to-contribution trail answer different questions; neither should simply replace the other.
AUSTRAC’s guidance distinguishes the underlying economic source from the sending account and describes risk-proportionate collection and verification. It is useful for understanding the concepts, not a basis for treating Australian customer due diligence obligations as every country’s forex licensing rules.
| Test | Question to resolve | Insufficient on its own |
|---|---|---|
| Source of funds | What transaction or income generated this particular amount? | A balance or transfer receipt |
| Source of wealth | How did the owner accumulate wealth consistent with the contribution? | A resolution approving this capital injection |
| Authority to contribute | Why may this person or company transfer the money? | A group ownership diagram |
| Regulatory capital eligibility | Does the instrument and resulting resource qualify under the applicable regime? | A finding that the money has a legitimate origin |
| Available operating funding | What remains usable after commitments, restrictions and expenditure? | A gross asset value that ignores liabilities |
Why can the regulator and the bank request different records?
Licensing review addresses the applicant, ownership, suitability and financial resources. An account provider separately assesses the proposed relationship and money flows. Authorisation does not exempt the company from bank onboarding, and a bank accepting a transfer does not determine the prudential treatment of the funding instrument.
For example, the DFSA’s new financial-services authorisation checklist includes UBO wealth and funds documentation or the parent company’s latest financial statements. This is a specific DIFC example, not assurance that providing accounts eliminates requests for underlying evidence.
Before assembling the pack, confirm the applicant’s legal name, requested permissions, actual funders, intended use and each recipient’s requirements. Resolve inconsistencies with the company structure and money flows before formatting documents. A longer explanation cannot cure contradictory legal arrangements.
What evidence should be organised for each funding source?
The matrix below is a practical way to organise a file by economic event. It does not require every applicant to produce every document. Each relevant row still needs to connect to the actual bank trail for the contribution.
| Actual source | Suggested evidence grouping | Question to challenge |
|---|---|---|
| Salary or professional savings | Income records, relevant tax evidence, accumulation and contribution transfers | Does net income after living costs and other spending explain the amount? |
| Dividend | Shareholding rights, accounts, distribution approval, company payment and owner receipt | Have profit, distributable amounts and cash been confused? |
| Property, share or business sale | Prior ownership, agreement, completion statement, debt settlement, taxes and net proceeds | Has the gross contract price been presented as available cash? |
| Investment realisation | Account ownership, original funding, transactions and withdrawals | Is an unrealised valuation being presented as received money? |
| Corporate or group funding | Business and financial background, investment authority, ownership and each transfer’s basis | Are subsidiary assets being treated as the owner’s freely available property? |
| Loan | Actual agreement, lender capacity and source, disbursement, security and repayment terms | Is the origin clear but the instrument ineligible as capital? |
| Gift or inheritance | Gift or estate rights, provider’s source, actual distribution and receipt | Are repayment, control or nominee conditions undisclosed? |
| Trust distribution | Relevant terms, participants and control, asset origin, distribution authority and receipt | Does the trustee transfer lack support for entitlement or authority? |
Long-term savings do not necessarily require every statement since the owner’s first job. Agree a sufficiently supported period and explanation with the recipient. Age is neither a reason to dispense with verification nor permission to recreate missing records. Where several sources funded one contribution, allocate the amount between them instead of choosing whichever description is easiest.
Build a pack a reviewer can follow in both directions
- Start with a funding summary. List each funder, actual source, currency, amount, instrument, planned date and receiving account. Avoid the unexplained label “own funds”.
- Number economic events. For example, E01 might identify a sale and E02 a dividend. Link each contribution to its supporting event or events so that one income stream is not counted twice.
- Make a transaction schedule. Record payer, payee, account suffix, dates, currencies, references, fees and evidence page numbers. Do not skip intermediate holding companies.
- Match the legal instrument. Subscriptions, premium or loans must agree with approvals, contracts and accounting. Obtain the appropriate local legal and accounting assessment of their treatment.
- Connect receipt to the budget and capital calculation. Show received money, proposed expenditure and remaining buffers in the same version. Identify restrictions separately.
- Use a second reviewer. Trace backwards from the applicant’s receipt to the original event. Log missing pages, identity differences, unexplained accounts and currency discrepancies.
The evidence index can record the document number, issuer, date, covered period, version, related transaction and unresolved points. Keep the original, translation and certification together. When replacing a document, state which version has been superseded. The bank and regulator should not receive incompatible amounts simply because different team members assembled their files.
A worked example: sale proceeds, conversion and fees
This example is entirely hypothetical. It is not a capital threshold, live exchange rate or tax estimate. An owner sells an asset for EUR 300,000. Completion repays EUR 80,000 of debt and deducts EUR 20,000 in taxes and transaction costs, leaving EUR 200,000. The owner contributes EUR 160,000 and retains EUR 40,000.
| Reconciliation step | Illustrative amount | Supporting explanation |
|---|---|---|
| Price less debt and costs | 300,000 − 80,000 − 20,000 = EUR 200,000 | Completion statement and deductions, not just the gross contract price |
| Portion contributed | EUR 160,000; EUR 40,000 retained | Owner’s decision and account records, without double-counting retained funds |
| Assumed conversion | EUR 160,000 × 1.10 = USD 176,000 | For a real transfer, use the executed conversion confirmation rather than a web reference rate |
| Transfer fee | USD 176,000 − USD 100 = USD 175,900 | Fee allocation and payment records |
| Applicant’s receipt | USD 175,900 | Receiving statement and accounting consistent with the funding documents |
If a subscription promises USD 176,000 but the company receives USD 175,900, establish who bears the fee and whether a genuine top-up or lawful documentation and accounting adjustment is necessary. Do not erase the difference or automatically label the receipt qualifying regulatory capital. Keep the trade, payment and credit dates separately where they differ.
This method also reveals a common mistake: the applicant may explain the final payment perfectly while failing to explain why the owner received the original proceeds. Reconciliation should therefore work across both the economic-event documents and the bank trail, not only between two statements.
Borrowed money, client funds and capital need separate analysis
Distinguish an owner borrowing personally and subscribing for shares from the applicant borrowing directly from that owner. The debtor, repayment burden and potential capital treatment differ. Disclosure does not automatically make borrowing unacceptable, but concealment does not turn debt into unencumbered wealth. Explain security, repayment sources and any control rights, then obtain the applicable eligibility assessment.
Client deposits are not evidence of shareholder funding. Under the applicable UK FCA CASS 7 normal segregation approach, client money generally goes directly into a client bank account unless the rules permit otherwise. That is a jurisdiction-specific illustration of different legal treatment, not a universal account design. Confirm the target jurisdiction’s client-money obligations before operations begin.
Run provenance review separately from regulatory capital monitoring: the first explains origin; the second tests eligibility and continuing adequacy. Until the latter assessment is complete, do not describe every dollar received as capital available for unrestricted expenditure.
When should submission pause for evidence repair?
- An undisclosed third party sends money and its relationship or entitlement remains unexplained.
- The agreement, distribution approval and bank credit conflict on entity, date or amount.
- An asset valuation, group turnover or expected income is presented as immediately available cash.
- A loan is labelled a gift, debt is labelled equity, or a nominee conceals the actual funder.
- A material transaction is supported only by a cropped image without verifiable issuer, ownership or context.
PEP status or a complex structure is not itself a finding of wrongdoing. FATF’s PEP guidance describes preventive measures; the applicable local rules and risk assessment determine the extra checks. Escalate substantive contradictions to compliance or legal personnel. Do not split payments, alter records or rename arrangements to evade scrutiny.
A useful exception log identifies the fact in question, the document needed, its owner, the proposed resolution and the person accepting or rejecting that resolution. “Awaiting evidence” must remain distinguishable from “verified”. A clean-looking folder is not evidence that unresolved issues have disappeared.
Missing documents, translations and sensitive information
Seek archived records from the original institution first. Then discuss whether registry information, tax records, counterparty confirmation or other independent material can close the gap. A professional’s letter should explain what was actually checked, rather than simply repeat the applicant’s assertion. If no credible chain can be established, pause use of that funding source and assess a genuine, verifiable alternative.
Recipients determine language, certification and freshness requirements. There is no universal three-month statement rule or certification package. Names, company forms, amounts, annexes and stamps should correspond across the original and translation. Budget separately for retrieval, translation, certification, professional review and conversion. Completion depends on the gaps and third-party processing; do not promise a fixed approval period.
Send sensitive records through verified secure channels and restrict access by role. Agree any redaction with the recipient; do not obscure identities, dates or amounts needed to establish the chain. Preserve controlled originals and submitted versions, subject to applicable retention and privacy obligations. Do not publish full account details on a website or in an open chat.
Final readiness checks before submission
The responsible reviewer should confirm that the application, ownership documents, statements, funding narrative and budget use the same facts; every material difference has support; the contribution fits the funder’s background; receipt has been reconciled; capital eligibility has been assessed separately; and unreceived amounts remain labelled planned rather than paid. Revisit the changed evidence whenever shareholders, financing or material contributions change.
If jurisdiction selection is still open, start with our forex licence jurisdiction guide. An initial ForexLicence discussion can use the target jurisdiction, source type and an anonymised transaction route, followed by securely supplied records against an agreed checklist. Complete paperwork does not guarantee a licence or bank approval.
Frequently asked questions
Can a balance certificate replace source-of-funds evidence?
Not on its own. It shows an account balance at a point in time, while provenance review also addresses the economic source, entitlement, contribution basis and transfer path.
Does every applicant need a full source-of-wealth report?
There is no universal requirement. The recipient, applicable rules and risk determine the necessary background and verification depth. Confirm those requirements and prepare proportionate independent support.
Does a shareholder loan count as regulatory capital?
Not automatically. Distinguish personal borrowing used to subscribe for shares from borrowing by the applicant, then assess the instrument, repayment obligations and local eligibility rules.
Are the latest three months of statements enough?
There is no global three-month standard. The period should connect generation, holding and contribution of the funds; older sources may require historical records or other reliable evidence.
Must funds passing through a holding company be traced further?
Material intermediate layers generally need an explanation of entitlement, contribution authority and transfer continuity. A holding-company receipt does not replace the original-source explanation; confirm the required depth with the recipient.
What if conversion or fees reduce the amount received?
Reconcile the executed conversion, fees and credit, then check the subscription commitment against actual payment. Make any necessary top-up or lawful amendment without altering original evidence.
Does a complete file guarantee licensing or bank approval?
No. Institutions independently assess permissions, ownership, suitability, business model, capital and risk. Clear evidence supports verification but does not replace their approval decisions.
